Official Rules
No Purchase Necessary. 

1.     DESCRIPTION OF CONTESTS:  

7221282 Canada Ltd., carrying on business as SweeptoKeep, is the sponsor (the “Sponsor”) of a series of contests (each, a “Contest”) to which a person who is eligible to enter a Contest (see Rule 2 below) can obtain access through the website www.sweeptokeep.com (the “Website”).  No purchase is necessary to enter a Contest.  Where and as the context permits or requires, the term “Sponsor” as used in these Official Rules (the “Official Rules”) includes 7221282 Canada Ltd., and/or a representative of 7221282 Canada Ltd. 

In these Official Rules, a) the term “Sponsor” includes, where the context requires or permits, a representative or agent of the Sponsor; b) the Sponsor’s computer system which is used to govern all computer and time-related aspects of the Contest and, among other things, is the official time-keeping device for the Contest, is called the “Contest computer”.  Subject to the provisions of these Official Rules, all results as recorded or otherwise governed by the Contest computer shall be final and binding in all respects; c) except as otherwise specifically stated in these Official Rules, all times mentioned in these Official Rules shall be Canadian Eastern Time (“ET”).  Whether that time is Eastern Standard Time or Eastern Daylight Savings Time will depend on any applicable “time change” dates that occur during the Contest; and d) the term “day” comprises the 24-hour period starting at 12:00:00 midnight ET on a given day during the Contest Period and ending that day at 11:59:59 p.m. ET.

Rule 2 below sets out the eligibility conditions which a person must meet in order to be eligible to become a Registered Person (see definition below) and then to be eligible to enter a Contest. 

Each Contest has a planned starting and ending date and time, and a maximum number of entries permitted, as specified on the Website with respect to the particular Contest.  Each Contest will end on the receipt by the Website of the maximum number of entries permitted for the applicable Contest, or the planned end date, whichever first occurs.  With respect to a particular Contest, the period between its planned starting and ending date and time is called the “Contest Period” for that Contest. 

Rule 3 below sets out the method(s) by which a person who is eligible to become a Registered Person can register on the Website, thus becoming a Registered Person, and then can enter a Contest.  A person who has registered on the Website in accordance with the requirements of these Official Rules is referred to below as a “Registered Person”. 

The chances of winning the prize (the “Prize”) which is available to be won in a particular Contest will depend upon the number of entries (each, an “Entry”) submitted by Registered Persons into that Contest, during the Contest Period applicable to that Contest, in accordance and compliance with the provisions of these Official Rules.  In these Official Rules, the word “Entry” includes both a Free Entry and any Additional Entry (each as defined in Rule 3 below) into any Contest.

By submitting an Entry into a Contest, a Registered Person agrees to comply with and be bound by all of the provisions of these Official Rules. 

2.  ELIGIBILITY: 

Subject to the provisions of these Official Rules, a Contest is open to any Registered Person.

Subject to the provisions of this Rule 2 of these Official Rules, in order to be eligible to become a Registered Person, and to enter a particular Contest, a person must have reached the age of majority in his/her Province/Territory/State/Country of residence, whichever is applicable, as of the starting date and time of the Contest Period which is applicable to that Contest, must have Internet access and must have a valid email address

A Contest is NOT open to the following persons:  

• Any resident of the Province of Quebec, Canada;
• Any person who, at any time on or after the start of the Contest Period, was or is a director, officer, employee, agent  or franchisee of the Sponsor or of any division, parent, subsidiary, affiliated company, service agency, promotional or advertising agency, or independent contractor of the Sponsor;
• Any person who was or is engaged in the development, production or distribution of materials associated with that Contest, or in the Prize supply for that Contest; and
• Persons who are or purport to be immediate family members (defined as spouse or biological or adoptive or step-mother, father, sister, brother, daughter, son, or dependent for Canadian federal income tax purposes) of any person in any of the preceding categories, regardless of where they live, or who reside in the same household, whether related or not, as any person in any of the preceding categories. 

Only one (1) individual may be identified as a Registered Person with respect to an Entry into a Contest. 

3.  HOW TO BECOME A “REGISTERED PERSON” AND HOW TO ENTER A CONTEST:

To enter a Contest, an individual who is eligible under the requirements set out in Rule 2 above must become a Registered Person.  In order to become a Registered Person, such an individual must register with the Website in the manner set out below.   

In the case of a first-time visitor to the Website, that individual becomes a Registered Person by visiting the Website, and then choosing an acceptable username (“username”), entering and confirming his/her valid email address, then providing his/her first and last name, his/her country of residence, Province/Territory/State of residence, date of birth, and then choosing and confirming a password.  No joint Registered Person registrations are permitted.  No individual may become a Registered Person more than once.  Next, the individual must enter accurately the alpha-numeric security verification code.  Then the first-time visitor must ‘click’ on the applicable box to confirm that he/she has read, understand, and agree to the provisions of the Official Rules, and must ‘click’ on the applicable box to confirm that he/she has read the eligibility requirements to enter the Contest and that he/she is eligible.  If an individual fails to click either or both of those boxes, he/she will not be able become a Registered Person and will be unable to proceed and enter a Contest.  The individual then must select and click on the non-mandatory opt-in box if he/she wish to receive updates about future contests, competitions, offers, promotions, polls, surveys, research and other events by email or otherwise from the Sponsor (not mandatory).  Finally, the individual must `click` on the `Register` button.

Note:  If a Registered Person wishes to amend, correct or otherwise change any information he/she supplied at the time of becoming a Registered Person (see above in this Rule 3), he/she may do so by making the appropriate change(s) to his/her ‘Profile’ on the applicable “Edit Profile” page of the Website.

Note:  If a Registered Person wishes to cease to be a Registered Person, he/she should go to his/her ‘Profile’ on the applicable page of the Website, click on the “Edit Profile” button on that page, and then click on the “Terminate Account” button on the “Edit Profile” page of the Website.  NOTE that by terminating his/her account on the Website, a Registered Person forfeits any unused Reward Points he/she possesses in his/her Account as well as any Entries which he/she has made into a Contest and also forfeits any right or claim, whether against the Sponsor or any other person, to or in respect of any Contest Prize to which he/she otherwise might be entitled.  

If the Sponsor finds that any individual has attempted to, or is attempting to, or has succeeded in being recorded as a Registered Person more than one time in connection with any contest which is offered on, or has been offered on, the Website, the Sponsor has the discretion to disqualify that individual from participating in any contest and may require that individual to forfeit any Prize to which he/she may otherwise have been entitled, or of which he/she may be a potential winner, and if such an individual has been awarded a Prize in any contest, in its sole discretion, the Sponsor has the right to demand that such individual to return to the Sponsor the Prize or at the Sponsor’s option the value of the Prize [which is deemed to be the approximate retail value (the “ARV”) for the Prize as specified in the Official Rules for the applicable Contest] and by becoming a Registered Person any such individual agrees that he/she will comply with the Sponsor’s demand.  If the Sponsor finds that any individual who is not eligible to become a Registered Person has attempted to, or is attempting to, or has succeeded in being recorded as a Registered Person, the Sponsor shall disqualify that individual from participating in any contest and may require that individual to forfeit any Prize to which he/she may otherwise have been entitled, or of which he/she may be a potential winner, and if such an individual has been awarded a Prize in any contest, in its sole discretion, the Sponsor has the right to demand that such individual to return to the Sponsor the Prize or at the Sponsor’s option the value of the Prize [which is deemed to be the ARV for the Prize as specified in the Official Rules for the applicable Contest] and by becoming a Registered Person any such individual agrees that he/she will comply with the Sponsor’s demand.

After a first-time visitor’s registration is validated in respect of apparent eligibility, he/she will be taken back to his/her ‘Profile’ on the applicable page of the Website where he/she can select the Contest from the Contest menu on that page and then can submit one (1) Entry into the Contest in the manner described as applicable to that Contest.  In the case of a Registered Person who visits the Website, that person only has to enter his/her valid email address or his/her username, and Password, and ‘click on the `Login` button and he/she will be taken to his/her ‘Profile’ on the applicable page of the Website where he/she can select the Contest from the Contest menu on that page and then can submit one (1) Entry into the Contest in the manner described as applicable to that Contest.  The first Entry a Registered Person submits into a particular Contest is called a “Free Entry”.  If after a Registered Person has submitted a Free Entry into a particular Contest, that Registered Person wishes to submit one or more additional Entries into that same Contest (each such additional Entry is called an “Additional Entry”), he/she must obtain points (each, a “Reward Point”) in the manner described below in this Rule 3,and then must submit the number of Reward Points (as specified in respect of that Contest) required for the successful submission of that additional Entry or those additional Entries. 

A Registered Person can submit one (1) Free Entry into any Contest or Contests offered on the Website.  No Registered Person can submit more than one (1) Free Entry into any particular Contest.  If a Registered Person wishes to enter a particular contest more than once, he/she must follow the procedure just described in respect of Additional Entries.  Unless otherwise provided in the portion of the Website which relates to a particular Contest, there is no limit on the number of Additional Entries which a Registered Person is allowed to make into a Contest provided he/she fulfils the applicable Reward Point requirements for that Contest. 

How To Obtain Reward Points:  A Registered Person can obtain Reward Points by following the instructions set out in that regard at the applicable place(s) on the Website. 

Personal information collected in connection with a Contest or in connection with registration on the Website or in connection with earning Reward Points will be used in accordance with the express permission, if any, granted by Registered Persons and in accordance with the Sponsor’s privacy policy which can be found on the Website.  By entering a Contest, a Registered Person consents to the Sponsor’s use of the Registered Person’s personal information to verify his/her eligibility, to attempt to effect compliance by him/her with the provisions of these Official Rules, and to carry out all of the requirements and conditions applicable to the Contest and contained in these Official Rules including, without limitation, delivery of a Prize to a Prize winner by the Sponsor or by the supplier of the Prize, as the case may be, and all other purposes related thereto.   

4.  SELECTION OF THE POTENTIAL PRIZE WINNER IN A PARTICULAR CONTEST:

IMPORTANT NOTE:  A Registered Person cannot win any Prize unless he/she correctly answers the skill-testing question (the “STQ”) which appears in the declaration and release form (the “Declaration and Release” - see Rules 7 and 8 below) provided to the Registered Person by the Sponsor, without electronic, mechanical, or any other kind of assistance. 

If there is one Prize available to be won in a particular Contest, it is planned that, on or about the date (the “draw date”) which is specified on the Website with respect to that particular Contest, the Sponsor will cause a computer-based random drawing to be conducted in order to select one (1) Entry (the “potential winning Entry”) from all Entries into that Contest which have been recorded during the Contest Period which is applicable to that Contest, and which comply in all respects with the requirements and provisions of these Official Rules.  The potential winning Registered Person (a “potential winner”) in a particular Contest is the Registered Person who submitted the potential winning Entry applicable to that particular Contest.  In addition to the selection of one (1) potential winning Entry, it is planned that, when the potential winning Entry is selected with respect to a particular Contest, the Sponsor also will cause four (4) back-up Entries (each, a “back-up Entry”), to be selected in the computer-based random drawing which is applicable to that particular Contest.

If there is more than one Prize available to be won in a particular Contest (a “Multi-Prize Contest”) , on the draw date the Sponsor will cause a computer-based random drawing to be conducted in order to select [from all Entries into that Multi-Prize Contest which have been recorded during the Contest Period which is applicable to that Multi-Prize Contest, and which comply in all respects with the requirements and provisions of these Official Rules] a number of potential winning Entries which is equal to the number of Prizes available to be won in that Multi-Prize Contest.  The Registered Person who submitted the first potential winning Entry selected will be the potential winner of the most valuable [as determined by its ARV] of the Prizes available to be won in that Multi-Prize Contest, the Registered Person who submitted the second potential winning Entry selected will be the potential winner of the next most valuable [as determined by its ARV] of the Prizes available to be won in that Multi-Prize Contest, and so on.  In addition to the selection of the potential winning Entries just described, when the potential winning Entries are selected with respect to a particular Multi-Prize Contest, the Sponsor also will cause up to four (4) back-up Entries to be selected in the computer-based random drawing which is applicable to that particular Multi-Prize Contest.  The number of back-up Entries selected will be in the sole discretion of the Sponsor.

5. PRIZE INFORMATION: 

The description(s) and the ARV of the Prize or the Prizes which is/are available to be won in a particular Contest and any terms, conditions and restrictions which apply to a Prize or Prizes, are indicated on the portion of the Website which relates to that Contest. 

Prizes may not be exactly as shown.  Any Prize must be accepted as awarded and cannot be transferred to another person, has no cash value, and cannot be exchanged for money or exchanged in whole or in part for cash, subject to any Prize-substitution rights and any other rights of the Sponsor as set out in these Official Rules.  In the event that, for any reason, the Sponsor is unable to award the whole, or any part, of the Prize in a particular Contest, the Sponsor has the right, in the Sponsor’s sole discretion, to substitute a prize of equal or greater value, as determined by the Sponsor in the Sponsor’s sole discretion, or to provide to a Prize winner the cash value of any Prize or part of any Prize, which value will be based upon the approximate value of the applicable Prize as indicated on the portion of the Website which relates to that Contest.  The Sponsor reserves the right to choose, where applicable, the colour of a Prize which actually is awarded to the winner of a Prize.

6. PRIZE RESTRICTIONS:

Subject to these Official Rules, in no event will more than the number and kind of Prizes which are stated in these Official Rules as being available to be won in a particular Contest be awarded in that Contest.  Any cost or expense (including, without limitation, any applicable taxes) which is incurred by a winner or potential winner of a Prize, whether in claiming, receiving or using a Prize or any part of a Prize, or otherwise, and which is not expressly included in the description of the Prize set out on the portion of the Website which relates to that Prize and the Contest in which it is being offered, is the sole responsibility of the winner or potential winner of the Prize.  The Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any Prize offered in any Contest.  WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ALL PRIZES ARE PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.  Unless otherwise specified on the portion of the Website which relates to a particular Contest and the Prize offered in that Contest, all Prizes will be awarded on the basis that the winner of a Prize is responsible for all service charges, processing, handling and delivery and/or transportation fees and costs and all other costs incurred in or related to claiming and/or receiving the Prize.  All taxes (including, without limitation, federal, Provincial, and local taxes) on or connected with any Prize, and the reporting consequences thereof, are the sole and exclusive responsibility of Prize winners.  If required by law, the Sponsor reserves the right to withhold and remit to the appropriate taxing authorities the amount of any tax or taxes due or alleged to be due.

7. WINNER NOTIFICATION:

No later than three (3) business days after the potential winner is selected for a particular Contest, the Sponsor will send an email notification to the Registered Person who submitted the potential winning Entry selected in respect of that particular Contest (see Rule 4 above).  In the case of a Multi-Prize Contest, an email notification will be sent to each Registered Person who submitted a potential winning Entry (see Rule 4 above).  That email will be sent by the Sponsor to the attention of that potential winner (or, if applicable, potential winners) at the email address which was provided by the potential winner [or if applicable, by the potential winners in the case of a Multi-Prize Contest] to the Sponsor at the time he/she/they registered with the Website (see Rule 3 above).  The email from the Sponsor will attach a redemption package (the “Redemption Package”).  The Redemption Package will consist of the Declaration and Release (comprising a declaration, publicity consent, and release form as prepared by the Sponsor – see details in Rule 8 below) which also contains an arithmetical or mathematical STQ as determined by the Sponsor, and a copy of these Official Rules. 

A potential winner must print out, complete legibly in English, and sign the Declaration and Release (including correctly answering the STQ which appears on the Declaration and Release), and must send, by registered mail to the Sponsor at the address set out in the Redemption Package [postal insurance is recommended] the originallegibly completed and signed Declaration and Release for receipt by the Sponsor no later than 5 p.m., Eastern Canadian time, on the 14th day after the day the Sponsor sent the email which contained the Redemption Package to the potential winner.  

If the Sponsor does not receive from a potential winner the original completed and signed Declaration and Release containing that person’s correct answer to the STQ by the date and time described above, then the Sponsor will have no further obligation to that potential winning Registered Person in respect of the Contest or in respect of the Prize that the potential winner otherwise may have received.  If the Sponsor does receive from the potential winner the original completed and signed Declaration and Release, but fails to answer (or fails to correctly answer) the STQ, is ineligible, or in any other way does not comply with the provisions of these Official Rules, then the Sponsor will have no further obligation to that potential winner in respect of the Contest or the Prize that the potential winner otherwise may have received and the Sponsor will proceed to send an email notification to the Registered Person who submitted the back-up Entry which was selected first in the drawing applicable to that particular Contest.  The Sponsor shall proceed (in the manner described above as applicable to the Registered Person who submitted the potential winning Entry) to send an email notification to that Registered Person and will repeat that process, on the same conditions, until the Sponsor has actually identified a Registered Person who complies with all the requirements and conditions in these Official Rules, including correctly answering the STQ, or, if such is the case, until there are no more back-up Entries for the particular Contest, in which case the Prize applicable to that Contest will be forfeited and will not be awarded.  If for any reason a Registered Person whose Entry is selected in a Contest does not comply in full with the provisions of these Official Rules and is not awarded a Prize in a Contest, the Sponsor will have no further obligation to that Registered Person in respect of the Contest or in respect of the Prize that the Registered Person may otherwise have received.

Once the Sponsor has identified the Registered Person who is a verified winner of a Prize in a Contest, the Sponsor will send that person an email, sent to the email address which that Registered Person provided to the Sponsor at the time the Registered Person registered with the Website, informing him/her that he/she is a verified winner of the applicable Prize and providing him/her with the details as to how the Prize can be claimed. 

8.  GENERAL CONDITIONS OF PARTICIPATION:

Each and every decision made by the Sponsor in respect of any matter involved in any Contest will be final and binding upon all persons, and no such decision is subject to any appeal whatsoever. 

Registered Persons assume all risk of loss, damage, destruction, delay and misdirection of communications, attempted communications, email, mail or other messages, Entries [including, without limitation, Free Entries], and are advised to obtain insurance where appropriate.  Neither the Sponsor nor the Sponsor’s directors, officers, shareholders, and employees nor the Sponsor’s affiliates, subsidiaries, divisions, parents and advertising or promotional agencies (nor the directors, officers and employees of those affiliates, subsidiaries, divisions, parents and advertising or promotional agencies) in any way or manner are or will be responsible for any loss or damage occasioned by any inconsistency in any registration information supplied by a Registered Person or any failure of any Registered Person to keep current any such information or  occasioned by any colour discrepancies in or in relation to any Prize; for illegible, misdirected, late, lost, damaged, stolen, or postage-duecommunications, attempted communications, email, mail or other messages, Entries [including, without limitation, Free Entries], which may be judged void;  for any damage to any computer system or wireless device which is occasioned by accessing the Official Website, by participating in a Contest, or by redeeming or seeking to redeem a Prize; for lost, interrupted, inaccessible, incompatible or unavailable networks, servers, satellites, Internet Service Providers, wireless carriers, web sites, or other connection; for availability or accessibility problems arising in connection with or over the course of the Contest; for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions, or hardware or software malfunctions, failures or difficulties or delays; for any technical malfunctions, failures, delays, or difficulties, printing errors, clerical, typographical or other error or errors in any Contest materials or on the Website or in any representation or representations on the Website including, without limitation, in any Entries [including, without limitation, Free Entries], in the offering or announcement of any Prize or in any Prize notification or Redemption Package or other Prize claim document(s); for any errors or omissions of any kind, whether human, mechanical, clerical, electronic, or technical in nature; or, for the incorrect or inaccurate capture of information, or the failure to capture any information, or delay in communication of information whether on the Website or otherwise.  Proof of mailing or of transmission or of attempted transmission by a Registered Person of any Entry [including, without limitation, any Free Entry], or Declaration and Release, or any other communication does not constitute proof of actual delivery of same to, or receipt of same by, the Sponsor.  Any and all communications and other things of any nature whatever which a Registered Person submits to the Sponsor in connection with a Contest become the property of the Sponsor and will not be returned.

In the event of a dispute as to the identity of a Registered Person, an Entry will be deemed submitted by the authorized account holder of the e-mail account which was used to submit that Entry and/or with which it is associated.  The “authorized account holder” shall be the natural person to whom the applicable e-mail address has been assigned by the internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the potential winning Entry.  If a dispute cannot be resolved to the Sponsor's satisfaction, the Entry related to the dispute will be deemed ineligible. 

If the Sponsor so elects, a potential winner may be required to submit to, and by entering the Contest agrees to fully cooperate in, a confidential background check to confirm eligibility and to help ensure that the use by the Sponsor of any such person in advertising or publicity for any Contest or for any other purpose will not, as determined by the Sponsor in its sole discretion, bring the Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavourably on the Contest or the Sponsor.  If a Prize winner makes any false statement in any document related to the Contest, he/she will be required to promptly return to the Sponsor upon demand the Prize(s) or, at the Sponsor's option, the cash equivalent of the Prize(s) [based on the approximate retail value of the Prize(s) as specified on the Website with respect to the particular Contest and Prize] which has/have been awarded to the Prize winner. 

The Declaration and Release referred to above contains a declaration of compliance with these Official Rules and a liability and publicity release, in a form prepared by the Sponsor, declaring that the potential winner accepts the Prize as awarded, has complied in full with all of the provisions of these Official Rules, is a Registered Person, releasing the Sponsor and the Sponsor’s directors, officers, shareholders, and employees and the Sponsor’s affiliates, subsidiaries, divisions, parents and advertising or promotional agencies (and the directors, officers and employees of those affiliates, subsidiaries, divisions, parents and advertising or promotional agencies) from any loss, cost, damage or harm of any nature whatever, including without limitation property damage and personal injury or death, incurred through the receipt, use or misuse of the Prize or of any part of the Prize which the potential winner receives in the Contest, and granting to the Sponsor in perpetuity and without geographic limitation the right (but not the obligation) to broadcast, publish and disseminate the Prize winner’s name, address (city/town and Province/Territory), photograph, likeness and voice, in connection with any promotion, publicity or information in connection with the Contest or for any other publicity purpose(s) in any medium of any nature whatsoever whether now known or hereafter developed (including the Internet) without further notice, approval or compensation.

9.  MISCELLANEOUS:

a. DISQUALIFICATION:  It is every Registered Person’s responsibility to ensure that he/she has complied with the conditions contained in these Official Rules.  The Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of any Contest (or the operation of anything related in any way to any Contest) or website, including without limitation the Website; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of a Contest or the Website or both; or to annoy, abuse, threaten or harass any other person.  The Sponsor reserves the right to seek damages and to seek other remedies from any such person to the fullest extent permitted by law and has the unfettered right to eliminate any such person from the Sponsor’s Website and data base and to refuse any such person access to the Website and/or to any Contest.

b. FORCE MAJEURE:  Subject to any governmental approval which may be required, the Sponsor reserves the right, without prior notice and at any time, to terminate any Contest, in whole or in part, or modify or suspend any Contest in any way, if it determines, in its sole discretion, that the Contest is impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the proper play, integrity, and/or feasibility of the Contest.  In the event the Sponsor is prevented from continuing with any Contest or Contests as contemplated herein or on the Website by any event beyond its control, including but not limited to fire, flood, natural or manmade health or other epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance or disruption, terrorist threat or activity, war (declared or undeclared) or any Federal, Provincial or local government law, order, or regulation, public health crisis (e.g., SARS), or any order of any court or jurisdiction, or any other cause not reasonably within the Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, the Sponsor shall have the right to modify, suspend, or terminate the Contest.  If the Contest is terminated, in whole or in part, before the designated end date, the Sponsor will select winners (or remaining winners, as the case may be) in a random drawing from all eligible, non-suspect Entries recorded as of the date of the Force Majeure event or occurrence giving rise to the termination. 

c. GENERAL:  Only the type and quantity of Prize(s) described on the Website in respect of a particular Contest will be awarded in that Contest.  Any Prize(s) that is not claimed in relation to a particular Contest will not be awarded.  These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor.  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

d.  GOVERNING LAW:  By entering a Contest, each Registered Person agrees that the substantive and procedural laws of the Province of Ontario shall govern the construction and interpretation of these Official Rules and of the specific provisions on the Website applicable or related to any particular Contest or Contests and of any dispute which arises out of or is related in any way to these Official Rules or to the Website or to any particular Contest or Contests and that, notwithstanding any choice of law and related jurisdictional principles, any such construction, interpretation and/or dispute will be commenced in and adjudicated exclusively by the appropriate Court of the Province of Ontario sitting in the City of Toronto, Ontario and each Registered Person attorns to and accepts the jurisdiction of that Court. 

10.  OFFICIAL RULES: AMENDMENT AND COPIES:   Subject to any required governmental consent or approval, the Sponsor reserves the right to delay, suspend or terminate a Contest or to amend, enlarge or modify these Official Rules or to amend, enlarge or modify the provisions which are applicable to a particular Contest or Contests, or both, at any time and in any way, for any reason, without notice and without any liability to the Sponsor whatsoever.  These Official Rules will be posted on the Website.  To obtain a copy of these Official Rules, print a copy thereof from the Website.  

11.  WINNERS LIST:   The names of the winner or winners in a particular Contest will be archived in and accessible through the Website for a period of 180days after the conclusion of the Contest Period applicable to that Contest.  To obtain a copy of that list, print a copy thereof from the Website.
